These Terms of Service (“Terms”) govern your access to and use of BVB Freight’s website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. DEFINITIONS AND INTERPRETATION

1.1 Key Terms

“Company,” “We,” “Us,” or “Our” refers to BVB Freight and its successors and assigns.
“User,” “You,” or “Your” refers to any individual or entity accessing or using our Services.
“Services” include freight brokerage, logistics solutions, real-time tracking, load management, and related transportation services.
“Platform” refers to BVB Connect 2.0 and any associated digital interfaces, mobile applications, and software.
“Shipper” refers to any party requesting transportation services for freight.
“Carrier” refers to any transportation company providing carrier services through our Platform.

2. USER ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility Requirements

To use our Services, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction
Be authorized to enter into legally binding contracts
Possess valid business credentials if registering as a commercial entity
Comply with all applicable federal, state, and local laws and regulations
Not be prohibited from using our Services under applicable law

2.2 Account Registration

When you create an account, you agree to:

Provide accurate, complete, and current information
Maintain the confidentiality of your login credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account
Keep your account information updated

2.3 Account Termination

We reserve the right to terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in conduct we believe is harmful, illegal, or violates applicable regulations.

3. USE OF SERVICES

3.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful business purposes only.

3.2 Permitted Use

You may use our Services to:

Request and arrange freight transportation services
Access real-time tracking and load management features
Communicate with carriers and our operational team
Generate reports and analytics related to your shipments
Manage your account and preferences

3.3 Prohibited Activities

You shall not:

Use our Services for any illegal purpose or in violation of any applicable law or regulation
Transmit any content that is defamatory, obscene, abusive, or otherwise objectionable
Attempt to gain unauthorized access to our Platform or systems
Interfere with or disrupt the integrity of our Services or infrastructure
Reverse-engineer, decompile, or attempt to derive the underlying technology of our Platform
Engage in fraudulent activities, misrepresentation, or deceptive practices
Impersonate any person or entity
Scrape, crawl, or automate access to our Services without authorization
Transmit malware, viruses, or any harmful code
Violate intellectual property rights or the rights of third parties
Use our Services in any manner that could damage, disable, overburden, or impair our systems

4. FREIGHT SERVICES AND LIABILITY

4.1 Role as Freight Broker

BVB Freight operates as an authorized freight broker. We are licensed and bonded in accordance with federal and state regulations. We do not own or operate vehicles; we facilitate transportation services between shippers and qualified carriers.

4.2 Carrier Selection and Performance

We exercise reasonable care in selecting qualified and insured carriers. However, we do not guarantee carrier performance, on-time delivery, or the condition of your freight upon delivery. While we maintain performance metrics, including a 99.5% on-time pickup & delivery rate, individual shipments may be subject to unforeseen circumstances.

4.3 Freight Classification and Documentation

You are responsible for:

Accurately classifying and describing your freight
Properly declaring the value of shipments
Providing complete and accurate shipping documentation
Ensuring all freight complies with DOT, HAZMAT, and other applicable regulations
Disclosing any special handling requirements

4.4 Liability Limitations

Except as required by law, BVB Freight’s liability for freight damage, loss, or delay is limited to applicable carrier liability under the Motor Carrier Act. Our liability does not extend beyond the carrier’s insurance coverage or applicable statutory limits.

4.5 Loss or Damage Claims

All claims for loss or damage must be filed in accordance with applicable law and carrier requirements. Claims must generally be filed within 120 days of delivery or delivery date. We provide support in the claims process but cannot guarantee coverage or recovery.

5. PAYMENTS AND BILLING

5.1 Pricing and Fees

Freight rates and service fees are determined based on factors including equipment type, distance, freight weight, class, and market conditions. All rates are subject to fuel surcharges, accessorial charges, and other applicable fees.

5.2 Payment Terms

Unless otherwise agreed in writing:

Payment is due within the agreed-upon term (typically NET 30)
Invoices must be paid in full without deduction or offset
Late payments accrue interest at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law
We may suspend services for non-payment

5.3 Payment Methods

We accept payment via ACH, wire transfer, credit card, and check. Payment should be directed to the account specified in your invoice or agreement.

5.4 Disputes

Billing disputes must be reported within 30 days of invoice issuance. We will investigate and respond within a reasonable timeframe.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

All content on our Platform, including but not limited to text, graphics, logos, software, and the overall design (collectively, “Content”), is the exclusive property of BVB Freight or its licensors. The Content is protected by U.S. and international copyright, trademark, and other intellectual property laws.

6.2 License to Use Content

We grant you a limited, personal, non-exclusive, non-transferable license to view and use Content solely for lawful business purposes. Any other use, including reproduction, modification, distribution, or republication, is strictly prohibited without written consent.

6.3 Trademarks

“BVB Freight,” “BVB Connect,” and related logos are trademarks of BVB Freight. You may not use these marks without prior written authorization.

6.4 User Content

Any information you provide to us (including shipment details, documents, and communications) remains your property. However, you grant us a non-exclusive, worldwide, royalty-free license to use such information to provide our Services and improve our Platform.

7. CONFIDENTIALITY

7.1 Confidential Information

Each party acknowledges that it may receive confidential and proprietary information from the other party. Confidential information includes but is not limited to business practices, pricing, technical data, and customer lists.

7.2 Obligations

Each party agrees to:

Maintain confidentiality of the other party’s proprietary information
Use confidential information only for purposes of performing under these Terms
Limit disclosure to employees and authorized representatives with a need to know
Implement reasonable security measures to protect confidential information

7.3 Exceptions

Confidentiality obligations do not apply to information that:

Is publicly available through no breach of these Terms
Was rightfully possessed prior to disclosure
Is independently developed without use of confidential information
Is required to be disclosed by law or court order

8. LIMITATION OF LIABILITY

8.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability and fitness for a particular purpose
Warranties of non-infringement and title
Warranties regarding the accuracy, completeness, or reliability of our Services
Warranties regarding uninterrupted or error-free service

8.2 Limitation of Damages

EXCEPT AS REQUIRED BY LAW, IN NO EVENT SHALL BVB FREIGHT BE LIABLE FOR:

Any indirect, incidental, special, consequential, punitive, or exemplary damages
Loss of profit, revenue, data, goodwill, or business opportunity
Cost of substitute goods or services

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount paid by you in the 12 months preceding the claim, or $100, whichever is greater.

8.3 Exceptions

These limitations do not apply to:

Gross negligence or willful misconduct
Breach of confidentiality obligations
Infringement of intellectual property rights
Indemnification obligations

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BVB Freight and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:

Your violation of these Terms
Your violation of applicable law
Your use of our Services in an unauthorized manner
Your infringement of third-party intellectual property rights
Your shipment contents or misclassification of freight
Disputes with carriers or third parties

10. INDEPENDENT CONTRACTOR RELATIONSHIP

You and BVB Freight are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship. You have no authority to bind or represent us, and we have no authority to bind or represent you.

11. THIRD-PARTY SERVICES AND LINKS

11.1 Third-Party Services

Our Platform may integrate with third-party services, including payment processors, tracking systems, and logistics providers. We are not responsible for the performance, accuracy, or security of third-party services. Use of third-party services is subject to their respective terms and privacy policies.

11.2 External Links

Our website may contain links to third-party websites. We do not endorse or assume responsibility for the content, policies, or practices of linked sites. Your use of external links is at your own risk and subject to the terms of those sites.

12. REGULATORY COMPLIANCE

12.1 Licenses and Authority

BVB Freight is authorized to conduct freight brokerage operations and holds all required federal and state licenses, including DOT authority and freight broker bonds. Our regulatory credentials are:

12.2 Regulatory Obligations

Our Services are subject to regulation by the U.S. Department of Transportation (DOT), Federal Motor Carrier Safety Administration (FMCSA), and applicable state regulatory bodies. We comply with all applicable laws, including rules governing rates, classifications, liability, and service standards.

12.3 Compliance by Users

You are responsible for ensuring your use of our Services complies with all applicable laws, including regulations regarding hazardous materials (HAZMAT), hours of service, vehicle weight limits, and customs requirements.

13. PRIVACY AND DATA PROTECTION

Your use of our Services is also governed by our Privacy Policy and Cookies Policy. Please review these policies to understand our data practices. By using our Services, you consent to the collection and use of information as described in those policies.

14. DISPUTE RESOLUTION

14.1 Governing Law

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any separate agreements you have entered into with us, constitute the entire agreement between you and BVB Freight concerning your use of our Services and supersede all prior or contemporaneous communications, proposals, and agreements.
